1. Introduction

These Terms of Service govern your access to and use of the Bizos platform, APIs, SDKs, agents, documentation, and related services (the “Service”), operated by Bizos, Inc. By using the Service you agree to be bound by these Terms.

2. Acceptance of terms

By creating an account, accessing, or using the Service, you confirm that you have read and accept these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

3. Description of service

Bizos provides an agent-operated system of record for finance and operations. Consequential actions taken by agents are routed for human review, and the Service maintains an audit trail of agent activity within your tenant.

4. Accounts and access

You are responsible for safeguarding your credentials and for all activity under your account. Access is controlled through SSO, role-based permissions, and administrator-configured policies. Notify us promptly of any unauthorized use.

5. Subscriptions and billing

Paid plans are billed in advance on the interval stated at purchase and are priced against the work the Service performs. Fees are non-refundable except where required by law. We may revise pricing with prior notice effective at your next renewal.

6. Acceptable use

You agree not to misuse the Service, including attempting to disrupt it, bypass access controls, reverse engineer it, or use it to process data you lack the rights to process. We may suspend access for conduct that risks the security or integrity of the Service.

7. Intellectual property

Bizos retains all rights to the Service, its software, and its brand. You retain all rights to the data and content you submit. You grant Bizos a limited license to process that data solely to provide and support the Service.

8. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only to perform under these Terms. This obligation survives termination and does not apply to information that is public or independently developed.

9. Data processing

Bizos processes personal data as a processor on your behalf under a Data Processing Addendum that reflects GDPR, CCPA, and equivalent regulations. We do not train shared foundation models on your data.

10. Termination

You may cancel at any time from your account settings. We may suspend or terminate access for material breach of these Terms. On termination you may export your data for 30 days, after which it is deleted per our retention schedule.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. Agent outputs are assistive and subject to human review; you are responsible for approving consequential actions before they take effect.

12. Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential damages. Each party’s aggregate liability is limited to the fees paid for the Service in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify Bizos against third-party claims arising from your unlawful use of the Service or your violation of these Terms. Bizos will indemnify you against claims that the Service infringes a third party’s intellectual property.

14. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

15. Changes to terms

We may update these Terms as the Service evolves. Material changes will be communicated before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
